1. Acceptance of Terms

By accessing or using Spelly, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of a child, you accept these Terms on their behalf.

2. Description of Service

Spelly is a web application that helps users practice spelling and vocabulary using interactive game modes and AI-assisted features such as word generation, definitions, text-to-speech, and scanning words from images. The Service offers free features and optional paid (premium) features.

3. Accounts and Eligibility

• You sign in to Spelly using Google Sign-In. You are responsible for activity that occurs under your account.
• You must meet Google's minimum age requirements to hold the Google account used to sign in.
• Spelly is a general-audience service and is not directed to children under 13. Where children use the Service, they should do so under the supervision of a parent, guardian, or teacher, who is responsible for that use.
• You agree to provide accurate information and to keep your account secure.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful, harmful, or abusive purpose;
• Upload images or submit content that is illegal, infringing, or that you do not have the right to submit;
• Attempt to disrupt, overload, reverse-engineer, scrape, or gain unauthorized access to the Service;
• Resell, sublicense, or commercially exploit the Service without our written permission.

5. AI-Generated Content

Some features rely on artificial intelligence. AI-generated words, definitions, pronunciations, and images are provided as a learning aid and may occasionally be inaccurate or incomplete. You are responsible for reviewing results, and Spelly is not a substitute for professional or educational judgment.

6. Optional OpenAI API Key

• You may optionally connect your own OpenAI API key to power AI features.
• The OpenAI API is a separate third-party service governed by its own terms and pricing.
• You are solely responsible for any charges, usage, and limits associated with your own OpenAI account, and for keeping your key secure.
• Importify Limited is not responsible for costs or issues arising from your use of your own key.

7. Plans, Purchases, and Refunds

• Spelly offers free usage (including a limited allowance of free “Sparks”) and optional premium access.
• Purchases are processed by PayPro Global, our authorized reseller and Merchant of Record. PayPro Global handles payment, billing, and any applicable taxes, and your purchase is also subject to PayPro Global's terms. We do not store full payment card details.
• We may change prices, plans, or the pricing model at any time. A lifetime or one-time purchase remains valid under the conditions stated at the time of purchase.
• Except where required by law, payments are non-refundable. For billing questions, contact support@importify.com.

8. Intellectual Property

The Service, including the Spelly name, logo, software, and design, is owned by Importify Limited and protected by applicable laws. You may not copy, modify, distribute, or create derivative works of the Service without our prior written permission.

You retain ownership of the content you submit (such as your word lists). You grant us a limited license to host, process, and display that content solely to operate and provide the Service to you.

9. Third-Party Services

The Service relies on third parties including Google (sign-in), Supabase (authentication and database), OpenAI (AI features), and Railway (hosting). Your use of those services is also subject to their respective terms and privacy policies. We are not responsible for third-party services.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or uninterrupted availability, to the fullest extent permitted by law.

11. Limitation of Liability

To the maximum extent permitted by law, Importify Limited will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of data, profits, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim (or, if you paid nothing, a nominal amount).

12. Termination

You may stop using the Service and request account deletion at any time. We may suspend or terminate access if you violate these Terms or to protect the Service and its users.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-laws rules, and disputes will be subject to the courts of Hong Kong.
