1. Acceptance of Terms

By accessing or using Spelly, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. These Terms are an agreement with an adult. If you set Spelly up for a child, or let a child use it, you accept these Terms for yourself and on the child's behalf, and you are responsible for the child's use.

2. Description of Service

Spelly is a website and mobile apps that help children practise spelling and vocabulary with games and AI-assisted features such as word lists, meanings, spoken words, and reading the words from a photo of a worksheet. The Service offers free features and an optional paid unlock.

3. Accounts and Eligibility

• You sign in with Google, with Apple, or with an email address. You are responsible for activity that occurs under your account.
• Spelly is made for children aged 6 to 12 to use with a parent, guardian or teacher. The account belongs to that adult, who must be at least 18.
• A child may use Spelly only with the permission of a parent or guardian. If you are under 18, ask a parent or guardian to set Spelly up for you.
• You agree to provide accurate information and to keep your account secure.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful, harmful, or abusive purpose;
• Upload images or submit content that is illegal, infringing, or that you do not have the right to submit;
• Attempt to disrupt, overload, reverse-engineer, scrape, or gain unauthorized access to the Service;
• Resell, sublicense, or commercially exploit the Service without our written permission.

5. AI-Generated Content

Some features rely on artificial intelligence. AI-generated words, definitions, pronunciations, and images are provided as a learning aid and may occasionally be inaccurate or incomplete. You are responsible for reviewing results, and Spelly is not a substitute for professional or educational judgment.

6. Teachers and Classes

If you share a list with a class or use Track my class, you confirm that you are allowed to do so by your school and, where the law requires it, by the students' parents. Enter students' first names only. You decide what is collected about your students on your lists, and we handle it only to provide the Service to you. Schools that need a data processing agreement can ask for one at support@spelly.net.

7. Plans, Purchases, and Refunds

• Spelly is free to use within daily limits. An optional one-time purchase (the unlock, also called premium) removes or raises those limits.
• On the website, purchases are processed by PayPro Global, our authorized reseller and Merchant of Record. PayPro Global handles payment, billing, and any applicable taxes, and your purchase is also subject to PayPro Global's terms.
• In the Android and iPhone apps, purchases are made through Google Play or the Apple App Store, with the account signed in on the device, and are also subject to that store's terms. We never receive or store your payment card details.
• Purchases must be made by an adult. The unlock belongs to the Spelly account it was bought for.
• Fair use. Premium removes the heart limit and includes up to 10 worksheet scans and 10 AI lists a day, and up to 50 of each per calendar month. Every account, free or premium, can add up to 500 new words a calendar month; words already in Spelly's word library don't count toward this. These limits sit far above normal family use and keep Spelly fast and affordable for everyone. If you reach one, Spelly tells you the date it resets.
• We may change prices, plans, or the pricing model at any time. A one-time purchase remains valid under the conditions stated at the time of purchase.
• Except where required by law, payments are non-refundable. Refunds for purchases made in an app are handled by Google Play or the App Store under their own rules. For billing questions, contact support@spelly.net.

8. Intellectual Property

The Service, including the Spelly name, logo, software, and design, is owned by Importify Limited and protected by applicable laws. You may not copy, modify, distribute, or create derivative works of the Service without our prior written permission.

You retain ownership of the content you submit (such as your word lists). You grant us a limited license to host, process, and display that content to operate and provide the Service to you.

The shared word library. The words people add to Spelly also build a bigger word library for all our users: more words to practise, with voices, meanings and ready-made lists by age and grade. By adding words, you allow us to use those words for this, combined with the words added by other users. We use single words only, never your list as a whole, your list names, or anything that identifies you or your child, and a word is only added to the library once it appears in lists from several different families. Words already in the library can stay there after you delete your account, because they are no longer connected to you.

9. Third-Party Services

The Service relies on third-party providers, listed in our Privacy Policy. Where you deal with one of them directly (for example Google, Apple or PayPro Global), your use of that service is also subject to its own terms. We are not responsible for third-party services.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or uninterrupted availability, to the fullest extent permitted by law.

11. Limitation of Liability

To the maximum extent permitted by law, Importify Limited will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of data, profits, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim (or, if you paid nothing, a nominal amount).

12. Termination

You may stop using the Service and request account deletion at any time. We may suspend or terminate access if you violate these Terms or to protect the Service and its users.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-laws rules, and disputes will be subject to the courts of Hong Kong. If you are a consumer, this does not take away any right that the law of the country where you live gives you and that cannot be waived by agreement.
